1.Introduction to GateKeeper Service Terms and Conditions

Welcome to GateKeeper, a service provided by CookieLabs. These terms and conditions ("Terms") constitute a legally binding agreement between all users of CookieLabs and GateKeeper. By accessing or using our website, products, services, and reading our content, you agree to be bound by the following terms and conditions. Please read these Terms carefully before using our website or subscribing to our services.

These Terms may be updated from time to time, and your continued use of our website indicates your agreement to the current terms. If you do not agree to these Terms, you may not use, view, or subscribe to our website.

2. Use of services

2.1. Users may access and utilize the GateKeeper Service for lawful purposes only. Any use of the service for illegal or unauthorized purposes is strictly prohibited.

2.2. Users agree not to engage in any activity that disrupts, interferes with, or imposes an unreasonable burden on the GateKeeper Service's infrastructure or its proper functioning.

2.3. Users are solely responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

2.4. Users must provide accurate and complete information when subscribing to the GateKeeper Service, including payment details, and promptly update such information as necessary to ensure its accuracy.

2.5. Users agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the GateKeeper Service without prior written permission from CookieLabs.

2.6. Users shall not use the GateKeeper Service to transmit or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

2.7. Users acknowledge that CookieLabs may, at its sole discretion, suspend or terminate access to the GateKeeper Service for any reason, including but not limited to violation of these Terms of Service.

2.8. Users agree to indemnify and hold CookieLabs harmless from any claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising out of or related to their use of the GateKeeper Service, violation of these Terms of Service, or infringement of any third-party rights.

2.9. CookieLabs reserves the right to modify, suspend, or discontinue the GateKeeper Service at any time without prior notice.

2.10. Users acknowledge and agree that CookieLabs may collect and use their personal information in accordance with its Privacy Policy.

2.11. Any feedback, comments, or suggestions provided by Users regarding the GateKeeper Service may be used by CookieLabs without any obligation to compensate the User, and CookieLabs shall own all intellectual property rights in such feedback, comments, or suggestions.

2.12. Users agree not to use the GateKeeper Service in any manner that could damage, disable, overburden, or impair the service or interfere with any other party's use and enjoyment of the service.

2.13. Users shall comply with all applicable laws, regulations, and third-party agreements when using the GateKeeper Service.

2.14. Users understand and acknowledge that the GateKeeper Service may include advertisements, and they agree to the display of such advertisements as part of their use of the service.

2.15. Users must promptly notify CookieLabs of any unauthorized use of their account or any other breach of security related to the GateKeeper Service.

2.16. Users understand and agree that the GateKeeper Service may involve transmission of data over various networks, and they acknowledge that they are responsible for any mobile data or internet usage fees that may be incurred.

2.17. Users acknowledge and agree that the GateKeeper Service may use third-party services or content, and CookieLabs shall not be responsible or liable for any third-party services or content.

2.18. CookieLabs reserves the right to refuse service to anyone for any reason at any time.

2.19. Users agree to abide by any additional guidelines, policies, or rules provided by CookieLabs in connection with the GateKeeper Service.

2.20. In the event of any conflict or inconsistency between these Terms of Service and any other terms or policies provided by CookieLabs, these Terms of Service shall prevail.

3. Eligibility

3.1. The GateKeeper Service is available only to individuals who are at least 18 years old or the legal age of majority in their jurisdiction, whichever is greater. By accessing or using the GateKeeper Service, Users represent and warrant that they meet this eligibility requirement.

3.2. Users may not use the GateKeeper Service if they have been previously suspended or prohibited from using the service by CookieLabs or if they are barred from receiving the GateKeeper Service under applicable law.

3.3. If Users are accessing or using the GateKeeper Service on behalf of a company, organization, or other legal entity, they represent and warrant that they have the authority to bind such entity to these Terms of Service and to act on behalf of such entity in connection with the GateKeeper Service.

3.4. CookieLabs reserves the right to verify the eligibility of Users and to refuse or terminate access to the GateKeeper Service for any User who does not meet the eligibility criteria outlined in these Terms of Service.

4. Indemnity

4.1. Users agree to indemnify, defend, and hold harmless CookieLabs, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

4.1.1. User's violation of these Terms of Service;

4.1.2. User's use or misuse of the GateKeeper Service;

4.1.3. User's violation of any rights of any other person or entity;

4.1.4. User's violation of any applicable laws, rules, or regulations;

4.1.5. User's negligence or willful misconduct;

4.1.6. Any claim or allegation that any content provided by User infringes or misappropriates the intellectual property rights of a third party.

4.2. CookieLabs reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by User, in which case User agrees to cooperate with CookieLabs in asserting any available defenses.

4.3. This indemnity provision shall survive any termination of these Terms of Service and User's use of the GateKeeper Service.

5. Trials

5.1. CookieLabs may offer trial access to the GateKeeper Service for a limited period ("Trial Period") at its discretion.

5.2. Users may be required to provide payment information to access the trial. Unless Users cancel their subscription before the end of the Trial Period, they will be automatically enrolled in a paid subscription plan at the end of the Trial Period.

5.3. Users acknowledge that during the Trial Period, the GateKeeper Service may be limited in features or functionality compared to the full paid version of the service.

5.4. CookieLabs reserves the right to modify or terminate trial offers at any time without prior notice and for any reason.

5.5. If Users do not wish to continue with a paid subscription after the Trial Period, they must cancel their subscription before the end of the Trial Period to avoid being charged.

5.6. Users agree that CookieLabs shall not be liable for any damages or losses incurred during or as a result of participation in a trial offer of the GateKeeper Service.

6. Pricing

6.1. The pricing for the GateKeeper Service is determined by CookieLabs and may vary based on factors such as subscription plan, features, and promotional offers.

6.2. Users agree to pay the fees associated with their selected subscription plan as disclosed at the time of subscription or as otherwise communicated by CookieLabs.

6.3. Subscription fees are charged on a recurring basis according to the selected billing cycle (e.g., monthly, annually) unless otherwise specified.

6.4. Users authorize CookieLabs to automatically charge the payment method provided for recurring subscription fees, unless the subscription is canceled in accordance with these Terms of Service.

6.5. All fees are non-refundable, except as required by applicable law or as otherwise expressly stated in these Terms of Service.

6.6. CookieLabs reserves the right to change the pricing for the GateKeeper Service at any time. Changes to pricing will apply to new subscriptions and renewals following the effective date of the price change.

6.7. Users will be notified of any changes to pricing through the GateKeeper Service or by email to the address associated with their account.

6.8. Users are responsible for any applicable taxes, duties, or other governmental charges associated with their use of the GateKeeper Service, excluding taxes based on CookieLabs' net income.

6.9. CookieLabs may offer discounts, promotions, or special offers from time to time, which may be subject to additional terms and conditions. Such offers may have expiration dates and may be discontinued at any time without notice.

7. Payment and Automatic Renewal

7.1. By subscribing to the GateKeeper Service, Users agree to pay the applicable fees associated with their selected subscription plan.

7.2. Payment for subscription fees is processed through the payment method provided by the User at the time of subscription.

7.3. Users authorize CookieLabs to automatically charge the payment method on file for recurring subscription fees at the beginning of each billing cycle, unless the subscription is canceled in accordance with these Terms of Service.

7.4. Subscription fees are charged in advance for the upcoming billing cycle and are non-refundable, except as required by applicable law or as otherwise expressly stated in these Terms of Service.

7.5. Users may cancel their subscription at any time by following the cancellation instructions provided within the GateKeeper Service or by contacting CookieLabs customer support.

7.6. If a subscription is canceled before the end of the current billing cycle, Users will continue to have access to the GateKeeper Service until the end of the current billing cycle, and the subscription will not be renewed for the next billing cycle.

7.7. Users acknowledge and agree that failure to cancel their subscription before the end of the current billing cycle will result in automatic renewal of the subscription and the corresponding charges will be applied to the payment method on file.

7.8. CookieLabs reserves the right to change the subscription fees and billing cycles at any time. Changes to subscription fees and billing cycles will apply to new subscriptions and renewals following the effective date of the change. Users will be notified of any changes to subscription fees and billing cycles through the GateKeeper Service or by email to the address associated with their account.

7.9. Users are responsible for ensuring that their payment information is accurate and up-to-date. CookieLabs is not responsible for any fees or charges incurred as a result of outdated or inaccurate payment information.

8. Refund Policy

8.1. Subscription Fees: All subscription fees paid for the GateKeeper Service are non-refundable unless otherwise required by applicable law or as expressly stated in these Terms of Service.

8.2. Trial Period: Users may be offered a trial period to evaluate the GateKeeper Service. If Users are not satisfied with the service during the trial period, they may cancel their subscription before the end of the trial period to avoid being charged. No charges will be incurred if the subscription is canceled within the trial period.

8.3. Exceptional Circumstances: In exceptional cases, such as technical issues preventing access to the GateKeeper Service or errors made by CookieLabs, Users may request a refund of subscription fees. Such refund requests will be considered on a case-by-case basis and are subject to CookieLabs' discretion.

8.4. How to Request a Refund: Users may request a refund by contacting CookieLabs customer support and providing relevant details, including the reason for the refund request and any supporting documentation if applicable.

8.5. Processing Time: Refund requests will be processed as promptly as possible, but the processing time may vary depending on the payment method and financial institution. Users will be notified of the outcome of their refund request once it has been processed.

8.6. Chargebacks: If a User initiates a chargeback with their payment provider without first contacting CookieLabs to resolve the issue, the User's account may be subject to suspension or termination, and additional fees may be incurred.

8.7. No Partial Refunds: CookieLabs does not offer partial refunds for unused portions of subscription periods.

8.8. Changes to Refund Policy: CookieLabs reserves the right to modify or update this Refund Policy at any time without prior notice. Any changes to the Refund Policy will be effective immediately upon posting on the GateKeeper Service or by email notification to Users.

8.9. Contact Information: For questions or assistance regarding the Refund Policy, Users may contact CookieLabs customer support through the contact information provided on the GateKeeper Service.

9. No warranties

9.1. Users acknowledge and agree that the GateKeeper Service is provided on an "as-is" and "as available" basis without warranties of any kind, express or implied.

9.2. CookieLabs makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of the GateKeeper Service or any content available through the service.

9.3. CookieLabs does not warrant that the GateKeeper Service will be uninterrupted, secure, error-free, or free from harmful components, including viruses or malware.

9.4. CookieLabs disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.5. Any material downloaded or otherwise obtained through the use of the GateKeeper Service is accessed at the User's own discretion and risk, and Users will be solely responsible for any damage to their computer system or loss of data that results from the download of such material.

9.6. No advice or information, whether oral or written, obtained by Users from CookieLabs or through the GateKeeper Service shall create any warranty not expressly stated in these Terms of Service.

9.7. Users acknowledge that CookieLabs does not control and is not responsible for the actions or omissions of other Users or third parties using the GateKeeper Service.

9.8. The limitations and exclusions of liability set forth in these Terms of Service apply to the fullest extent permitted by applicable law.

9.9. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to certain Users based on their jurisdiction.

9.10. Users agree that their use of the GateKeeper Service is at their sole risk, and they assume full responsibility for any consequences arising from such use.

10. Limitation of Liability

10.1. In no event shall CookieLabs, its affiliates, officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with the use or inability to use the GateKeeper Service.

10.2. To the maximum extent permitted by applicable law, CookieLabs shall not be liable for any direct damages in excess of the total amount paid by the User for the GateKeeper Service during the twelve (12) months preceding the claim giving rise to liability.

10.3. CookieLabs shall not be liable for any damages or losses resulting from any interruption, suspension, or termination of the GateKeeper Service, including but not limited to any losses or damages arising from technical failures, network issues, or unauthorized access to or use of User data.

10.4. Users acknowledge and agree that CookieLabs shall not be liable for any content posted, transmitted, or otherwise made available through the GateKeeper Service by Users or third parties.

10.5. The limitations of liability set forth in this section apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if CookieLabs has been advised of the possibility of such damages.

10.6. Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations may not apply to certain Users based on their jurisdiction.

10.7. Users agree that the limitations of liability set forth in these Terms of Service are fair and reasonable given the nature of the GateKeeper Service and the fees charged for access to the service.

10.8. Users acknowledge and agree that the limitations of liability set forth in this section shall apply to the fullest extent permitted by applicable law, regardless of whether any remedy fails its essential purpose.

11. Privacy and Security

11.1. CookieLabs takes the privacy and security of Users' personal information seriously. The collection, use, and disclosure of personal information by CookieLabs are governed by the Privacy Policy, which is incorporated into these Terms of Service by reference.

11.2. Users acknowledge and agree that by accessing or using the GateKeeper Service, they consent to the collection, use, and disclosure of their personal information in accordance with the Privacy Policy.

11.3. CookieLabs implements reasonable security measures to protect the confidentiality, integrity, and availability of User data and to prevent unauthorized access, use, or disclosure of such data.

11.4. Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Users agree to notify CookieLabs immediately of any unauthorized use of their account or any other breach of security.

11.5. CookieLabs may use cookies, web beacons, and other tracking technologies to collect information about Users' interactions with the GateKeeper Service for analytical and security purposes. Users may configure their web browser settings to reject cookies or notify them when cookies are being used.

11.6. While CookieLabs strives to protect the privacy and security of User data, no method of transmission over the internet or method of electronic storage is completely secure. Therefore, CookieLabs cannot guarantee the absolute security of User data.

11.7. Users acknowledge and agree that they are solely responsible for the security and confidentiality of any information or content that they transmit or receive through the GateKeeper Service, including but not limited to messages, files, and other communications.

11.8. Users agree not to use the GateKeeper Service to transmit or store sensitive personal information, such as social security numbers, financial account numbers, or health information, without adequate encryption or security measures in place.

11.9. CookieLabs may disclose User data if required to do so by law or in response to a valid legal request, such as a court order or subpoena.

11.10. Users acknowledge and agree that CookieLabs may transfer their personal information to servers located in other countries for storage and processing, and that such countries may have different data protection laws than the User's country of residence.

11.11. If Users have any questions or concerns about privacy or security issues related to the GateKeeper Service, they may contact CookieLabs customer support for assistance.

12. Jurisdiction and Dispute

12.1. These terms of service shall be governed by and construed in accordance with the laws of Korea, and any dispute arising under or in connection with this website shall be subject to the jurisdiction of the courts in Korea.

12.2. In the event of a dispute arising out of or relating to these terms of service or the GateKeeper Service, CookieLabs and the User agree to seek resolution through mutual discussion and negotiation.

12.3. If a dispute between CookieLabs and the User cannot be resolved through mutual discussion and negotiation, either party may bring a claim in the courts of Korea.

12.4. If any provision of these terms of service is found by a court of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these terms of service, and all other provisions shall remain in full force and effect.

13. Risk Disclaimer

13.1 The GateKeeper Service provided by CookieLabs is intended for informational and educational purposes only. Users acknowledge and agree that any use of the GateKeeper Service is at their own risk.

13.2 CookieLabs does not provide financial, investment, legal, or tax advice. The information provided through the GateKeeper Service should not be construed as professional advice or a recommendation to engage in any specific investment or trading strategy.

13.3 Users understand that investing in stocks, cryptocurrencies, or other financial instruments involves inherent risks, including the risk of loss of capital. Past performance is not indicative of future results, and no representation or warranty is made regarding the future performance of any investment.

13.4 Users are solely responsible for conducting their own research and due diligence before making any investment decisions. CookieLabs does not endorse or recommend any specific investment or trading strategy, and Users should consult with a qualified financial advisor or professional before making any investment decisions.

13.5 CookieLabs does not guarantee the accuracy, completeness, or reliability of any information provided through the GateKeeper Service. Users acknowledge that information provided may be subject to errors, omissions, or inaccuracies, and CookieLabs shall not be liable for any damages or losses arising from reliance on such information.

13.6 Users agree to indemnify and hold CookieLabs harmless from any claims, damages, losses, or liabilities arising out of or in connection with their use of the GateKeeper Service, including but not limited to any investment decisions made based on information obtained through the service.

13.7 By accessing or using the GateKeeper Service, Users acknowledge that they have read, understood, and agreed to this Risk Disclaimer, as well as the Terms of Service and Privacy Policy provided by CookieLabs. If Users do not agree with any part of this disclaimer or the terms provided, they should refrain from using the GateKeeper Service.
